ACWA Power Company Announces Updates on the Application to the Capital Market Authority for the Increase of the Company’s Capital by Offering Right Issues

Introduction With reference to ACWA Power’s (the “Company”) announcement on 18/06/1446H (corresponding to 19/12/2024G) on the Saudi Exchange (Tadawul) website of its submission of the application file to the Capital Market Authority (CMA) for obtaining its approval to increase the Company's capital by offering of rights issue.

The Company would like to announce to its esteemed shareholders the issuance of the CMA’s decision dated 22/11/1446H, (corresponding to 20/05/2025G), which includes the approval of the Company’s application to increase its capital through offering, registration and listing rights issue shares with a total offering value of SAR 7,124,999,700 noting that CMA approval is subject to the Company’s Extraordinary General Assembly’s (EGM) approval.

Application Status at CMA The CMA issued on 22/11/1446H, (corresponding to 20/05/2025G) its approval on the Company’s application to increase its capital through offering, registration and listing rights issue shares with a total offering value of SAR 7,124,999,700 noting that the eligibility is for shareholders holding the shares by the end of the trading day of the assembly date that approves the increase of the capital by offering rights issue, and who are registered in the Company's shareholders register held with the Securities Depository Center Company (Edaa) at the end of the second trading day following the eligibility date.

General assembly meeting date will be announced later.

Other Substantial Updates The CMA issued its approval on the Company’s application to increase its capital by offering of rights issue, and the Company will, in due course, invite the Company’s extraordinary general assembly related to the capital increase to convene and subsequently publish the rights issue prospectus.
