Share Buyback Programme


SSP Group plc (“SSP” or “the Group”), a leading global travel food and beverage operator, announces the commencement of a further share buyback programme (the “Programme”) to purchase ordinary shares of £0.01085 each in the capital of the Group (“Ordinary Shares”) up to a maximum aggregate consideration of £50 million (the “Maximum Amount”), following completion of the previous share buyback programme.

This reflects the significant progress made embedding stronger and sustainable cash generation across the business and is consistent with our capital allocation priorities. The Programme will begin with effect from Monday 12 October 2026 and will end no later than 12 October 2027. The sole purpose of the Programme is to reduce the Group's issued share capital.

The Group has entered into an arrangement with Panmure Liberum Limited ("Panmure Liberum") in relation to the Programme (the "Arrangement"). The Programme will initially be effected under the authority granted by shareholders at the 2026 Annual General Meeting which will expire on the earlier of (i) the conclusion of the annual general meeting of the Company to be held in 2027 (the "2027 AGM") and (ii) at the close of business on 23 April 2027 (the "2026 Authority"). Under this authority, between the date of the 2026 AGM and 8 October 2026, the Group has purchased 55,119,418 Ordinary Shares. Panmure Liberum, therefore, has authority to purchase up to 24,141,969 Ordinary Shares (as reduced by any further Ordinary Shares purchased prior to the commencement of the Programme).

Following the expiry of the 2026 Authority, the continuation of the Programme will be conditional on approval of shareholders of a resolution re-granting the directors' authority to purchase Ordinary Shares at the 2027 AGM and any further purchases will be in accordance with the terms of such approval. The share purchases will be made by Panmure Liberum, or its affiliates, acting on the Group's behalf (as “riskless” principal) in accordance with the Arrangement and, in the case of any purchases made during closed periods and/or at any time when the Group has inside information, shall be made independently of, and uninfluenced by, the Group. 

In line with the 2026 Authority, the maximum price (exclusive of expenses) which may be paid for an Ordinary Share shall not be more than the higher of: (i) an amount equal to 105% of the average middle market quotations for an Ordinary Share, as derived from the London Stock Exchange Daily Official List, for the five business days immediately preceding the day on which the Ordinary Share is purchased; and (ii) an amount equal to the higher of the price of the last independent trade of an Ordinary Share and the highest current independent bid for an Ordinary Share as derived from the London Stock Exchange Trading System.

The Programme will be conducted within the parameters prescribed by the Market Abuse Regulation 596/2014 and the Commission Delegated Regulation (EU) 2016/1052 (as in force in the UK, from time to time, including, where relevant, pursuant to the UK's European Union (Withdrawal) Act 2018 and the Market Abuse (Amendment) (EU Exit) Regulations 2019).

Any Ordinary Shares acquired as a result of the Programme will be cancelled.

The Group confirms that it currently has no inside information.
